Contract and Bid Procedures

Steps in the Bidding and Award Process
The following process
will be used by SelectSeed Co. to screen contractors and develop long-term
orchard contracts:
- Request for Qualifying Information (RFQI).
- Development
of a Qualified Bidders List; site visits may be requested (this
list will remain open to new applicants).
- Qualified bidders
bid on specific orchard expansion projects.
- Bid review; possible
requests for further information or site visits.
- Negotiation of specific
contract elements.
- Contract(s) awarded to successful bidders.
Expected timeline

1. Request for Qualifying Information (RFQI) An RFQI will be advertised
from time to time at the discretion of SelectSeed. Applicants may apply
by completing and returning
the Qualified Bidders
List Application. This information will be used to screen potential
contractors to ensure that they have suitable available land
and the needed skills
(personal or staff). In addition, applicants will be evaluated
for their ability to undertake and complete a long-term contractual
commitment.
2. Qualified Bidders List
Applicants to be put on the Qualified Bidders
List will be screened for the following:
- Suitable land for the orchard
project(s) of interest.
- Experience in conifer seed orchard management,
forestry, tree improvement,
fruit orchard
management, or other similar activities such
as horticulture. Practical experience in conifer seed orchard management
and tree improvement
will be a definite asset, but is not a requirement
if other skills and experience
are considered suitable.
- Stability: Corporate stability
through an organization that is operated by staff,
and is capable of undertaking a long-term
contract. Individuals interested in undertaking
a long-term contract as owner-operators may be considered, provided
there is adequate
provision for meeting contract obligations
over the
complete contract term.
3. Bidding
on Orchard Contracts Applicants accepted for the Qualified
Bidders List will be asked to bid on specific orchard management
contracts
for
which they
are suited. These
applicants will be sent information and instructions
for bidding on specific seed orchards. Information
requested in bids will
include the following:
- Specific site for proposed
orchard.
- Irrigation water access; amount and quality.
- Site facilities
such as
cone sheds,
equipment, etc.
- Site
development plans (irrigation,
fencing, site preparation, drainage, etc.).
- Land ownership information (includes
lease, covenants,
or other restrictions).
- Seed-sharing expectations, if any.
- Plans
for continuation of the orchard contract should the firm
change significantly (i.e.
sale,
bankruptcy),
or should the owner-operator
become unable to carry on the operation.
- Cost estimates by year (at
least some
of these
costs may be requested
on a per ramet [tree] basis).
- General
management plan and intentions.
4. Proposal Evaluation
Process
Proposals will be reviewed for:
- Site suitability (location, climate,
soils, drainage, limitations, etc.).
- Contractors ability to successfully
undertake the
project (experience,
knowledge, continuity).
- Cost and revenue potential.
This will include
development costs,
management costs, seed sharing percentages, and other possible financial
factors to limit the risk
to both parties
of project
failure for financial
reasons.At this stage, SelectSeed may seek further information,
or ask to view the
land on which
the seed
orchard would
be located.
5. Negotiation
Proponents of proposals (one
or more) that are considered
acceptable
based
on the
stage 4 review,
will be contacted
for further
discussion and negotiation
of contract terms. Unsuccessful
bidders will
be informed.
Negotiations
will be entered into to explore the costs
and revenue
streams
from the
project, and
to allow
both parties
to better
understand intentions,
risks and benefits.
For
example, negotiation may involve agreeing
on site development
needs, final
orchard size,
payment schedules,
seed sharing
percentages, crop management
expectations, etc.
SelectSeed
will be seeking arrangements that carry
performance incentives
for good management.
6.
Contract Award
Successful bidders
will be awarded
a contract. Contracts
will be
long term
legal agreements
that are binding
on both parties,
and
carry remedies
for default.
